FourKites Community Terms

Acceptance of the FourKites Community Terms

We have created an Interactive Service that allows current, permitted users (each, a “User”) of the FourKites platform and/or mobile application(s) (individually and collectively, the “Platform”) to submit and vote on ideas that influence the Platform roadmap, pose questions and find best answers to Platform and supply chain questions, create connection groups with other Users and us, and other features (“FourKites Community”).

These FourKites Community Terms (“Community Terms”), the Community Code of Conduct, the FourKites Community Guide, and the Website Terms of Use (collectively, the “Community Agreement”), apply to your access to and use of the FourKites Community. FourKites respects your privacy during your use of the FourKites Community.

Our Privacy Policy is readily accessible and describes our use of your personal information in connection with the FourKites Community. Since the Privacy Policy is subject to periodic updates, it is recommended that you periodiy review the policy for updates.

Capitalized terms used but not defined in these Community Terms have the meanings ascribed to them in the Website Terms of Use.

Please read these Community Terms carefully before you register for, or access or use, the FourKites Community. By registering for the FourKites Community, accessing or using the FourKites Community, or by clicking to accept or agree to these Community Terms when this option is made available to you, you accept and agree to be bound and abide by the Community Agreement, each of which is incorporated herein by reference. If you do not want to agree to the Community Agreement, you must not register for an account to, or access or use, the FourKites Community.

General Requirements for FourKites Community Registration and Participation

To register for and participate in the FourKites Community, you must be a current, permitted User of the Platform and be at least 18 years of age or older. By registering for, or accessing and using, the FourKites Community, you represent and warrant that you are of legal age to form a binding contract with FourKites and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not register for, or access or use, the FourKites Community.

You will be asked to create a profile to register for the FourKites Community. You may provide your company, title, last name, email address, and other personal details you choose to share (including a profile picture and/or links to your social media accounts) but are only required to share your first name with the FourKites Community.

You must not maintain more than one profile for the FourKites Community.

Your registration with the FourKites Community is tied to your company. Accordingly, your profile for the FourKites Community will be changed to inactive, and you will no longer have access to the FourKites Community, if you change employment. You represent and warrant that you can legally enter into this Agreement on behalf of yourself and your company. Note that account sharing is not permitted and thus each employee will have their own individual account.

You must know and comply with your employer’s policies concerning participation in user groups and represent that:

• You have obtained any consents required by your employer (if necessary) to participate in the FourKites Community and to earn Points (as described below).
• Your employer does not have any prohibition or restriction on you participating in a user group such as the FourKites Community or earning Points (as described below).

Earning Points

From time to time, FourKites may post specifications for earning recognition points based on participation in the FourKites Community, for example making Contributions to the FourKites Community, (“Points”). These specifications will be posted or made available through the FourKites Community. The value of Points associated with each specified activity or challenge will be determined at the sole discretion of FourKites. If you earn the specified Points, you will be acknowledged within the FourKites Community as having done so. No prizes or consideration, other than recognition within the FourKites Community, may be awarded.

If you cease to be a registered participant in the FourKites Community for any reason, you forfeit all Points you have earned and your ability to earn additional Points ends immediately.

The ability to earn Points is void where prohibited by law.

Points are not valid in, and may not be used in combination with, any other program offered by FourKites or third parties, nor are they redeemable in cash or cash equivalents.

FourKites reserves the right to change the Points associated with any activity or challenge at any time. FourKites will be the final arbiter on any issues concerning Points.

Changes to these Community Terms

We may revise and update these Community Terms, as well as the Community Code of Conduct or the FourKites Community Guide, from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all registration for, and access to and use of, the FourKites Community thereafter. Your continued participation in the FourKites Community following the posting of revised Community Terms, Community Code of Conduct, and/or the FourKites Community Guide means that you accept and agree to the changes. You are expected to check this page, as well as the Community Code of Conduct and the FourKites Community Guide, from time to time so you are aware of any changes, as they are binding on you.

Cancellation, Suspension, or Termination

We reserve the right to cancel, suspend, or change the FourKites Community, in whole or in part, including without limitation the specifications for earning Points in connection with the FourKites Community, at any time.

We also reserve the right to suspend or close your profile for, and suspend or terminate your registration and access to, the FourKites Community in our sole discretion. We may do so with or without cause. If we choose to do so, we may provide you notice at the most current email address we have for you in our files. If we deem that you have violated these Community Terms, the Community Code of Conduct, or the FourKites Community Guide, then we may suspend or terminate your registration and access to FourKites Community immediately without notice. We also reserve the right to remove any Contribution (as defined below) without prior notice and at our discretion.

You may terminate your participation in the FourKites Community at any time by contacting us at community@fourkites.com.

Confidentiality

All information and other content contained in the FourKites Community is intended for, and should be shared with, only current members of the FourKites Community, except as expressly permitted in the Community Code of Conduct (i.e., “Summarize”, “Anonymize”, and “Attribute”).

Contributions

All posts, comments, votes, Feedback, ideas, questions, answers, or materials posted or submitted to the FourKites Community shall be deemed a “Contribution”. All Contributions are subject to the terms and conditions of the Website Terms of Use and must comply with them. You acknowledge and agree that any Contributions that you may make from time to time shall be deemed to be owned in full by FourKites, that FourKites may use any or all such Contribution without restriction, and that, to the extent you have any rights to the Contributions, you hereby assign such rights to FourKites at no cost to FourKites. Additionally, though, all Contributions to the FourKites Community must:

• comply with the Community Code of Conduct;
• comply with all applicable laws, rules, and regulations (including, without limitation, those concerning antitrust, privacy, intellectual property and/or image rights). In addition, you must provide reasonable cooperation if FourKites requests evidence to present before competent authorities and/or courts. regarding the satisfaction of the requirements referred to herein; and
• must not be shared outside of the FourKites Community except as expressly permitted in the Community Code of Conduct (i.e., “Summarize”, “Anonymize”, and “Attribute”).

To the fullest extent permitted by applicable law, the site is provided “as is”, “with all faults” and “as available” and the entire risk of use and performance remains with you. FourKites disclaims any representations, warranties, or conditions, express, or implied, or statutory, including, without limitation, (i) non-infringement; and (ii) and the site will be available or provided on an uninterrupted, error-free, timely, or secure basis, will be free be error-free or free from viruses, worms, or other harmful or malicious components. When posting to the FourKites Community, you should not disclose any confidential or proprietary information of your company or any other party.

When sharing any Contributions, you should anonymize such Contribution where appropriate (e.g., rather than using names, using generic titles and descriptions like “senior executive at beverage company”).

Feedback

You acknowledge and agree that any suggestions, improvements, feedback, and/or bug fixes relating to the Platform or the FourKites Community that you may suggest from time to time through the FourKites Community (“Feedback”) shall be deemed to be owned in full by FourKites, that FourKites may use any or all such Feedback without restriction, and that, to the extent you have any rights to the Feedback, you hereby assign such rights to FourKites at no cost to FourKites.

Entire Agreement; Conflicts

The Community Agreement constitute the sole and entire agreement between you and FourKites, Inc. regarding the FourKites Community and Points described herein and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the FourKites Community and Points. If there is any direct conflict between these Community Terms, on the one hand, and the Website Terms of Use, including the Copyright Policy referenced therein, these Community Terms shall control to the extent of such conflict.
